Terms of Service
1. Agreement to these terms
These Terms of Service govern the provision of professional business and consulting services by 47 Lake Street Project Pty Ltd (ABN 80 703 613 030) of Melbourne VIC ("we", "us", "our") to you, the client. By engaging our services, requesting a quote, or using this website (https://47lakestreetproject.online), you agree to be bound by these terms. If you do not agree, please do not use our services or website.
2. Services
We provide professional business and consulting services, which may include business advisory, strategy, planning, operational review, and related consulting work. The specific scope, deliverables, timelines and fees for any engagement will be set out in a written proposal, statement of work, or engagement letter agreed between us before work commences. That document forms part of our agreement with you and, where there is any inconsistency with these terms, the engagement document will prevail to the extent of the inconsistency.
3. Quotes and engagement
Any quote provided by us is valid for 30 days unless otherwise stated in writing. Quotes are estimates based on the information available at the time and may be revised if the scope of work changes or if information provided by you is incomplete or inaccurate. A binding engagement arises only when we accept your instruction in writing or work commences at your request.
4. Fees, invoices and payment
Fees are payable in accordance with the engagement document. Unless otherwise agreed in writing, invoices are payable within 14 days of the date of issue. We may require a deposit or progress payments for larger engagements. Late payments may attract interest and we may suspend work on an engagement where invoices remain overdue. All fees are quoted in Australian dollars and are exclusive of GST unless stated otherwise. Where GST applies, it will be added to our fees in accordance with Australian taxation law.
5. Client responsibilities
You agree to provide timely, accurate and complete information reasonably required for us to perform the services, to respond to requests in a timely manner, and to notify us promptly of any change to your circumstances or the scope of work. We rely on the information you provide, and we are not responsible for delays or errors arising from incomplete, inaccurate or late information.
6. Intellectual property
All materials, frameworks, methodologies, templates and documents we produce remain our intellectual property, except that upon full payment you receive a licence to use deliverables prepared specifically for you for your own business purposes. You retain ownership of information and materials you supply to us. You must not reproduce, resell or distribute our materials or deliverables to third parties without our prior written consent.
7. Confidentiality
We will keep confidential all non-public information you provide to us in connection with an engagement, and will not disclose it except as required to perform the services, with your consent, or as required by law. This obligation continues after an engagement ends. Similarly, you agree to keep confidential any proprietary methodologies or pricing we share with you.
8. Limitation of liability
To the maximum extent permitted by law, our liability arising out of or in connection with the services is limited to the fees paid by you for the relevant engagement. We are not liable for indirect, incidental or consequential loss, loss of profit, or loss of business opportunity, except where such limitation is not permitted by law.
Nothing in these terms excludes, restricts or modifies any rights you may have under the Australian Consumer Law or any other applicable legislation. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Where services are not provided with due care and skill or are not fit for purpose, you may be entitled to remedies under that law.
9. Termination
Either party may terminate an engagement by giving written notice. You remain liable for fees for work performed up to the date of termination, and for any reasonable costs or commitments we have incurred on your behalf. Termination does not affect rights and obligations accrued before termination, including confidentiality and intellectual property obligations.
